Preservation of Human Creativity: You acknowledge that MNKI is designed as a creative augmentation tool intended to enhance, not replace, human design. The Service functions by processing user-provided base inputs (e.g., hand sketches, massing models, or base renders) rather than generating imagery from zero.

Warranty of Ownership: By uploading any content ("User Input") to the Platform, you represent and warrant that you possess the full copyright, royalty rights, and necessary licenses to said content. You expressly agree not to upload materials that infringe upon the intellectual property rights of any third party.

Indemnification: You agree to indemnify and hold MNKI harmless against any claims, damages, or legal fees arising from your breach of this warranty (e.g., if you upload a sketch or image you do not own).

Feedback and Suggestions: If you submit any feedback, ideas, suggestions, enhancement requests, or recommendations regarding the Service ("Feedback") — whether through the in-app inbox, email, or any other channel — you hereby grant MNKI a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and otherwise exploit such Feedback for any purpose without restriction, without any obligation of compensation, attribution, or confidentiality to you. MNKI is under no obligation to act on, respond to, or implement any Feedback submitted.

MNKI Wall & Public Sharing: The Service includes a public gallery/blog feature known as the "MNKI Wall". Any registered User, on any plan, may share designated generated image outputs directly from their MNKI workspace (Studio or chat) to the MNKI Wall. All posts on the MNKI Wall are public, accessible without authentication, and visible to search engines and indexing crawlers. By posting to the MNKI Wall, you represent and warrant that your posts comply with our Acceptable Use Policy (Section 9). You may choose to display either your first name or post anonymously; however, you acknowledge that even anonymous posts are associated with your user account server-side for moderation purposes. Captions are limited to 300 characters and cannot be edited after posting (to make corrections, you must delete the post and submit a new one). Posting is limited to a flat rate of three (3) posts per day. MNKI reserves the right to moderate, remove, or restore any Wall posts at its sole discretion.

Ownership of Generations: To the extent permitted by law, you retain full ownership rights to the specific images and content you generate ("Outputs") using MNKI, subject to the license terms of the underlying AI models employed by the platform (including, but not limited to, Alphabet/Google and Black Forest Labs).

Platform Rights: By using the Services, you grant MNKI a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, and display your Inputs and Outputs solely to the extent necessary to operate, maintain, and provide the Service to you. This licence does not extend to training, fine-tuning, or otherwise improving any AI or machine-learning model using your content, and MNKI will not use your Inputs or Outputs for such purposes without your separate, explicit, and informed opt-in consent.

Similarity of Output: You acknowledge that due to the nature of artificial intelligence, the Service may generate the same or similar content for other users. You retain no exclusive rights to such non-unique Outputs.

Subscription Terms: MNKI paid plans (Basic, Pro) are billed in advance on a recurring monthly basis. By subscribing, you authorize us to charge your payment method automatically at the start of each billing cycle.

Renewal Notification: MNKI will send a reminder email to your registered email address at least 7 days before each subscription renewal date. It is your responsibility to keep your registered email address current and accessible. Failure to receive a renewal notification due to an invalid or inaccessible email address does not relieve you of the obligation to pay the renewal charge.

Free Plan: The Free plan provides an initial allocation of 40 trial credits at no cost. After the trial credits are consumed, Free plan users may purchase top-up credit packs on a pay-as-you-go basis. No recurring charges apply to the Free plan.

Credit System: MNKI uses a virtual credit system ("Credit Gems") to meter usage. Credits are consumed per generation at the following rates: Standard renders (MNF engine): 4 credits; Pro renders (MNG engine, 2K): 6 credits; Pro renders (MNG engine, 4K) and Inpaint operations: 8 credits each. Paid plan subscribers receive a monthly credit allocation that resets at the start of each billing cycle. Unused monthly credits do not roll over.

Top-Up Credit Packs: Users on any plan may purchase additional credit packs. Purchased credits never expire and are consumed only after monthly credits are depleted.

Payment Processing: All payments are processed securely by Noon Payments. Your card details are handled directly by Noon Payments and are never stored on MNKI servers. Prices may be displayed in your local currency where available, and applicable VAT or taxes will be shown at checkout.

Failed Generations: If a generation fails due to a server-side error, credits are automatically refunded to your MNKI wallet within 1 to 3 working days. You will not be charged for failed attempts caused by our infrastructure.

Refund Policy: Subscription payments and credit pack purchases are non-refundable. MNKI does not provide refunds for partial subscription periods or unused generation credits, except in cases of confirmed server-side errors or at the sole discretion of MNKI support.

Cancellation: You may cancel your subscription at any time via your account dashboard. Cancellation will take effect at the end of the current billing cycle, and you will retain access to the Service and any remaining credits until that date.

Consumer Right of Withdrawal (Digital Services): Where applicable consumer law confers a statutory right of withdrawal on digital-content or digital-service purchases, you expressly acknowledge that: (a) performance of the Service begins immediately upon purchase confirmation; and (b) by completing your purchase you consent to the immediate commencement of digital service delivery and, accordingly, waive any applicable statutory right of withdrawal to the extent permitted by law. Statutory rights that cannot be waived by contract are unaffected.

VAT and Taxes: Prices displayed on the Service may be exclusive of applicable value-added tax (VAT), goods and services tax (GST), sales tax, or other indirect taxes. Any applicable taxes will be calculated and displayed at checkout based on your billing location. You are solely responsible for any taxes, duties, or levies applicable to your use of the Service under the laws of your jurisdiction.

Account Deletion: You may permanently delete your account at any time from the Security section of your account settings. Upon deletion, your profile, projects, render history, chat sessions, and associated data will be removed from active systems.

Data Archival: To allow for potential account restoration and to prevent abuse, MNKI may retain an archived copy of your account data for up to 30 days following deletion. Usage and generation history may be retained for up to 90 days post-deletion for dispute resolution purposes. Payment records are retained for 7 years to comply with applicable financial and tax regulations. This archived data is not accessible to other users or used for any purpose other than account restoration, fraud prevention, and legal compliance.

Anti-Fraud Measures: MNKI tracks email addresses that have been used to create accounts to prevent credit farming through repeated account creation and deletion. This information is stored securely and used solely for abuse prevention.

Password Reset Limit: To protect account security and ensure reliable email delivery, password reset links are limited to one request per calendar month per account. MNKI records the timestamp of each reset request. If you lose access to your registered email address and cannot receive a reset link, contact support@mnki.ai. We strongly recommend storing your credentials in a trusted password manager.

Termination by MNKI: MNKI reserves the right to suspend or terminate your account, with reasonable notice where practicable, for conduct that we determine violates these Terms or is harmful to other users. In cases of serious violation — including but not limited to fraud, illegal activity, uploading prohibited content, or circumventing payment systems — MNKI may suspend or terminate immediately and without prior notice.

MNKI relies on the following third-party services to deliver its platform. By using the Service, you acknowledge and agree to the terms and privacy policies of these providers:

• Google Authentication: Account sign-in via Google OAuth and email/password authentication.
• Noon Payments: Payment processing for subscriptions and credit purchases.
• AI Model Providers: Image generation powered by models from Alphabet and Black Forest Labs, among others. MNKI may add, replace, or update AI providers at any time.
• Google Analytics & Ads: Website traffic analysis and marketing conversion tracking.

MNKI is not responsible for the availability, performance, or policies of these third-party services.

MNKI API & Connectors (Claude and other MCP clients): MNKI offers a Public API and an MCP connector that let you drive the Service from external clients, including Anthropic's Claude. These are available on Pro and VIP plans. Connecting an external client is entirely at your own initiative: when you authorize a connection — by generating an API key, or by completing the OAuth sign-in and consent flow — you direct MNKI to make your account's capabilities available to that client, limited to the permissions (scopes) you approve. You are responsible for the clients you connect and for keeping your API keys and authorized sessions secure; anything done through a valid credential of yours is treated as done by you. Content you send from, and results returned to, a connected client are also handled by that client's operator under its own terms and privacy policy, which MNKI does not control. You may end a connection at any time by revoking the key or disconnecting the connector in that client. Your use of the API and connectors remains subject to these Terms, including the Acceptable Use Policy and applicable rate limits and credit costs.

Open-Source Software — MNKI 3D Sandbox: The MNKI 3D Sandbox workspace is built on the "Pascal" editor, an open-source 3D building editor (available at github.com/pascalorg/editor), which MNKI uses and adapts under the terms of the MIT License. The original copyright and license notices are preserved within the software. The 3D Sandbox's furniture and item catalog is delivered from the Pascal project's content servers, and its availability is therefore subject to that third party. The Pascal project and its authors are not affiliated with, and do not endorse, MNKI. The 3D Sandbox is provided free of charge as-is; designs created in it are stored locally in your browser and are not uploaded to MNKI servers.

You agree not to use the Service to:

• Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable;
• Generate, upload, transmit, or distribute child sexual abuse material (CSAM) or any sexually explicit content depicting minors. MNKI is legally required to report any such material to the relevant law enforcement authorities and, where applicable, to the National Center for Missing & Exploited Children (NCMEC) CyberTipline or equivalent body in the applicable jurisdiction. Violation of this prohibition will result in immediate account termination, preservation of evidence, and mandatory reporting to authorities;
• Infringe upon the intellectual property or privacy rights of any third party;
• Use automated tools, bots, or scripts to access the Service or extract data, except through the MNKI Public API or an authorized MCP connector using your own valid credentials and within the applicable rate limits;
• Attempt to gain unauthorized access to other user accounts, MNKI systems, or administration tools;
• Resell, redistribute, or offer MNKI-generated content as part of a competing AI generation service; or
• Circumvent credit usage limits, payment systems, or anti-fraud protections.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

Indemnification for AUP Violations: In addition to the indemnification provided in Section 3, you agree to indemnify, defend, and hold harmless MNKI and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, penalties, fines, costs, and legal fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Acceptable Use Policy, including any costs incurred by MNKI in responding to law enforcement inquiries, regulatory investigations, or third-party legal proceedings triggered by your use of the Service.

Data We Collect: MNKI collects and stores your profile information (name, email, profile photo via your authentication provider), project data, render history, chat sessions, credit balances, and payment records. Uploaded images and generated outputs are stored in cloud storage for the purpose of delivering the Service.

User Presence & Activity Data: MNKI automatically records your online/offline status and last login timestamp each time you access the Service. This information is collected and processed for standard industry purposes, including: maintaining platform security and integrity, detecting and preventing unauthorized access and fraudulent activity, monitoring service health. Your presence data is retained in accordance with our data retention policies and is not disclosed to any third parties.

Project & Content Retention: Projects, chat sessions, and presentations are retained based on your plan, with the timer starting from the time each item was created:
• Free plan: 90 days
• Basic plan: 365 days
• Pro and VIP plans: retained indefinitely while your subscription is active
When an item reaches the end of its retention window, the entire project is permanently deleted, including all renders, iterations, and uploaded/generated images inside it — regardless of when those individual items were created. The same rule applies to chat sessions and presentations. Deleted content cannot be recovered. MNKI will send you two warning notifications — an email and an in-app inbox message — at seven (7) days and again at twenty-four (24) hours before any scheduled deletion. If your paid plan is downgraded or expires, a 7-day grace period applies before the shorter retention policy takes effect.

Payment Security: Card details are processed directly by Noon Payments and are never stored on MNKI servers. MNKI only stores transaction references, amounts, and status for your payment history.

Data Location: Your data is stored on Google Cloud infrastructure. By using the Service, you consent to the transfer and processing of your data in the regions where Google Cloud and our service providers operate.

Primary Service Territory: The Service is operated from and primarily intended for users in Egypt and the MENA (Middle East and North Africa) region. MNKI does not actively direct, market, advertise, or solicit business from residents of the European Union, United Kingdom, United States, or any other jurisdiction outside the primary service territory.

Passive Availability: While the Service is technically accessible via the internet from any location worldwide, such general internet accessibility does not constitute an offer, direction, or solicitation of the Service to users in any jurisdiction where MNKI does not actively operate. If you access the Service from a jurisdiction outside the primary service territory, you do so entirely at your own initiative and risk, and these Terms — governed by Egyptian law — shall apply to your use accordingly.

Your Responsibility for Local Compliance: You are solely and exclusively responsible for determining whether your access to and use of the Service complies with all laws, regulations, rules, and requirements applicable in your jurisdiction, including but not limited to data protection laws, financial regulations, export control laws, and content restrictions. MNKI makes no representation, warranty, or guarantee that the Service is appropriate for use in, legally permitted in, or technically available from any particular jurisdiction.

No Admission of Jurisdiction or Regulatory Applicability: Where MNKI's Privacy Policy or these Terms reference the laws or regulations of specific jurisdictions (such as the EU GDPR, UK GDPR, CCPA, or PDPL), such references are provided solely as a courtesy to users who may incidentally access the Service from those jurisdictions. Such references shall not be construed as: (a) an admission or acknowledgement that MNKI is subject to, or actively offering services under, the laws of those jurisdictions; (b) a waiver of MNKI's right to rely on Egyptian law as the governing law; (c) consent to the jurisdiction of any court, arbitration body, or regulatory authority outside Egypt; or (d) a submission to any foreign regulatory authority's investigative or enforcement powers.

By accessing or using the Service, you represent and warrant that: (a) you are at least 18 years of age, or the age of majority in your jurisdiction if that age is higher than 18; (b) you have the full legal capacity and authority to enter into a binding contract in your jurisdiction; (c) if you are using the Service on behalf of a company, organisation, or other legal entity, you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to that entity; and (d) your access to and use of the Service does not violate any applicable law, regulation, or court order.

If you do not satisfy these eligibility requirements, you must not access or use the Service. MNKI reserves the right to terminate or suspend any account where these eligibility requirements are found to be unmet, without liability or refund.

Governing Law: These Terms and any dispute, claim, or controversy arising out of or in connection with them — including their formation, validity, interpretation, performance, breach, or termination — shall be governed exclusively by the laws of the Arab Republic of Egypt, without reference to its conflict-of-law principles.

Informal Resolution (Mandatory Pre-Condition): Before initiating any formal legal or arbitration proceeding, you agree to contact MNKI in writing at support@mnki.ai and attempt in good faith to resolve the dispute informally for a minimum of 30 days from the date of the written notice. Neither party may initiate formal proceedings until this period has elapsed or both parties have agreed in writing that informal resolution has failed.

Binding Arbitration: Subject to the informal resolution requirement above, any and all disputes, claims, or controversies arising out of or relating to these Terms, the Service, or the relationship between you and MNKI that cannot be resolved informally shall be finally and exclusively resolved by binding arbitration administered by the Cairo Regional Centre for International Commercial Arbitration (CRCICA) in accordance with its applicable arbitration rules. The seat of arbitration shall be Cairo, Egypt. The language of the proceedings shall be English. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

Exceptions to Arbitration: Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from the competent courts of Cairo, Egypt, to prevent irreparable harm pending the outcome of arbitration, including to protect intellectual property rights or enforce payment obligations.

No Class Actions: All disputes shall be resolved on an individual basis only. You waive any right to bring or participate in any class action, collective action, consolidated proceeding, or representative proceeding against MNKI, whether in arbitration or in court. No arbitration or proceeding shall be combined with another without the prior written consent of all parties involved.

Limitation Period for Claims: Any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose. Any claim not brought within this period shall be permanently barred, regardless of any statutory limitation period that might otherwise apply. This limitation does not apply to claims by MNKI for payment of fees or breach of intellectual property rights.

MNKI shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure arises from circumstances beyond its reasonable control, including but not limited to: acts of God; war, invasion, or acts of terrorism; civil unrest or riots; government action, sanctions, or regulatory intervention; epidemics, pandemics, or public health emergencies; electrical, telecommunications, or internet infrastructure failures; denial-of-service attacks or other cyberattacks; acts or omissions of third-party service providers (including cloud infrastructure and AI model providers); or changes in applicable law or regulation that make performance illegal or commercially impracticable (each, a "Force Majeure Event").

MNKI will use reasonable efforts to notify you of a Force Majeure Event and to resume performance as soon as reasonably practicable. If a Force Majeure Event prevents MNKI from providing the Service for more than 30 consecutive days, you may cancel your subscription and receive a pro-rata refund of any prepaid fees attributable to the period of non-performance, as your sole remedy in respect of that Force Majeure Event.

Your Assignment: You may not assign, transfer, sublicense, novate, or delegate any of your rights or obligations under these Terms — including your account or any purchased credits — to any third party without MNKI's prior written consent. Any purported assignment in violation of this Section shall be void and of no effect.

MNKI's Assignment: MNKI may freely assign, transfer, or delegate its rights and obligations under these Terms to any affiliate, successor entity, or acquirer in connection with a merger, acquisition, change of control, corporate reorganisation, or sale of all or substantially all of MNKI's assets or business, without your prior consent. MNKI will provide reasonable prior notice of any such assignment, and the successor entity shall be bound by these Terms as if it were the original party.

Severability: If any provision of these Terms is held by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed. All remaining provisions shall continue in full force and effect.

No Waiver: No failure or delay by MNKI in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right. A waiver of any breach or default shall constitute a waiver of any subsequent breach or default.

Entire Agreement: These Terms, together with the MNKI Privacy Policy and any supplemental policies expressly incorporated herein, constitute the entire agreement between you and MNKI with respect to the Service and supersede all prior negotiations, representations, agreements, and understandings. In the event of conflict, the Privacy Policy governs data processing matters; these Terms govern in all other respects.

Notices: MNKI may provide notices by email to your registered address, by in-app notification, or by posting on the Service. Notices are deemed delivered when sent electronically. Legal notices to MNKI must be sent to support@mnki.ai and are deemed delivered upon MNKI's written acknowledgement of receipt. Written correspondence may also be sent to MNKI's registered office at Office M05, Golden Gate Tower, Autostrad Rd, Maadi, Cairo, Egypt, or by telephone at +20 2 2517 7576.

Language: These Terms are written in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

Relationship of Parties: Nothing in these Terms creates any agency, partnership, joint venture, franchise, or employment relationship between you and MNKI. Both parties are independent contracting parties.

Headings: Section headings are for convenience only and do not affect the construction or interpretation of these Terms.
